Information about the beneficial owners

In accordance with the applicable German Money Laundering Directive, Kaufland Global Marketplace is obligated to identify the beneficial owner(s) of your company. Please provide this information when you register as a seller so that your seller account can be activated quickly.

What is a beneficial owner?

In accordance with the applicable Money Laundering Directive, Kaufland Global Marketplace is obligated to identify the beneficial owner of your company. It is therefore very important that you provide this information when you register as a seller so that your seller account can be activated as quickly as possible. The beneficial owner is the natural person who is the owner of funds or other assets of your company, or a legal entity (such as a limited liability company) that ultimately has control over the company (legal basis: para. 3, Money Laundering Act (GwG)). The beneficial owner directly or indirectly holds 25% or more of the shares or voting rights in your company. It is therefore possible that several persons in your company are beneficial owners.

What information and documents do we require regarding the beneficial owner?

For this, we require the name, date and place of birth, private address, as well as information on the exact capital share (in %). In addition, we require a partnership agreement, a list of shareholders, relevant audit reports or other proof of the shareholding structure within the company. You may, of course, redact any information in the partnership agreement that goes beyond this disclosure.

Example 1: Limited liability company (GmbH) with two beneficial owners

  • Shareholder A holds a 50% stake in the company
  • Shareholder B holds a 40% stake in the company
  • Shareholder C holds a 10% stake in the company

Shareholders A and B are beneficial owners and must be declared accordingly. Shareholder C owns less than 25% of the company shares and is therefore not a beneficial owner.

Example 2: Limited liability company (GmbH) with two beneficial owners and one participating company

  • Shareholder A holds a 33% stake in the company
  • Shareholder B holds a 33% stake in the company
  • A participating limited liability company holds a 34% stake in the company

The participating limited liability company has the following shareholdings:

  • Shareholder C: 40% share in the participating company
  • Shareholder D: 60% share in the participating company

Only shareholders A, B and D are beneficial owners. A and B, as they own more than 25% of the company shares in the limited liability company.

For the participating limited liability company, the shareholding structure of the respective shareholders is relevant.

Shareholder C is not a beneficial owner, as 40% is generally not sufficient for a majority shareholding or control of the participating limited liability company. This is only the case if at least 50% of the company shares are held. For this reason, Shareholder D is a beneficial owner because, with more than 50% of the shares, they hold the control of the participating limited liability company.

Please upload all necessary documents (including information on the shareholdings of the participating limited liability company) when registering.
